Usage Terms and Conditions
GRIIDS.AI
Effective Date: September 1, 2025 | Last Updated: September 30, 2026
1. Agreement and Acceptance
These usage terms and conditions (the "Terms") are between you and GRIIDS Inc. (the "Company," "we," "us," or "our"), a Delaware corporation, wholly owned by Kootanla Services LLC, an Illinois limited liability company operating under the assumed name and doing business as Kootanla. The Terms govern access to and use of the website and web application available at griids.ai, including any earlier address of ours that redirects to it, and all features, tools, data, content, and services made available through it (together, the "Site"). The Site is owned and operated by the Company and is a Software as a Service (SaaS) web application.
By registering for an account, clicking to accept these Terms, or accessing or using the Site in any way, you confirm that you have read and understood these Terms and agree to be bound by them, together with our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Site.
If you use the Site on behalf of a company, utility, commission, agency, firm, or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" and "your" refer to both you and that organization. If the Company and your organization have signed a separate written agreement covering the Site (for example, an Enterprise agreement), that agreement controls to the extent it conflicts with these Terms.
The Site is intended for business and professional use. You must be at least 18 years old to use the Site.
2. Definitions
In these Terms:
- "AI Features" means the features of the Site that use machine learning or language models to generate text, tables, summaries, answers, or other results, including Ask and Doc Parser, and any successor or additional feature of that kind.
- "Ask" means the feature that answers questions about regulatory dockets, filings, and related data using language models.
- "Doc Parser" means the feature that extracts information from documents, links, and instructions you provide and produces structured tables and related results.
- "Company Content" means all data, datasets, compilations, analytics, benchmarks, text, graphics, images, software, and other material made available on or through the Site, other than Uploaded Content and Outputs.
- "Outputs" means the results generated by the AI Features in response to your questions, documents, links, or instructions.
- "Plan" means the Lite Plan, the Pro trial, or a paid subscription plan (currently Pro and Enterprise) as described on the Site.
- "Uploaded Content" means any document, file, link, text, question, instruction, feedback, or other material that you submit to or through the Site, including to the AI Features.
- "User Data" means the personal data you provide to us, which is handled as described in the Privacy Policy.
3. The Services
These Terms govern the provision and sale of the services available on the Site. The Site offers GRIIDS, which stands for Grid and Rate Infrastructure Investment Data Service. GRIIDS aggregates and streamlines system performance, operational performance, grid investment, and rate case data across U.S. investor-owned utilities (IOUs) so that industry participants and stakeholders can perform benchmarking and analytics that save time and improve decision-making. Depending on your Plan, the Site may also include tools such as Docket Tracker, Docket Search, and the AI Features (Ask and Doc Parser).
All information, descriptions, and images that we provide about the Site and its services are intended to be as accurate as possible. However, we are not legally bound by such information, descriptions, or images, and we cannot guarantee that every feature will operate exactly as described. You agree to purchase and use the services at your own risk.
We may add, change, limit, or remove features of the Site, including the AI Features and the scope of data covered, at any time. Where a change materially reduces the features included in a paid Plan during a period you have already paid for, you may cancel your subscription and we will refund the unused portion of the fees you prepaid for that period. Otherwise, changes to features do not entitle you to a refund.
We reserve the right to modify, reject, or cancel any order whenever it becomes necessary. If we cancel your order and have already processed your payment, we will refund the amount you paid for the cancelled order. You are responsible for monitoring your payment instrument to verify receipt of any refund.
4. Accounts
When you create an account on the Site, you agree to the following:
- You are solely responsible for your account and for the security and confidentiality of your credentials, including passwords and any sensitive information attached to the account. You will not share your credentials or allow any other person to access the Site through your account. You are responsible for all activity that occurs under your account, whether or not you authorized it.
- All information you provide to us through your account is current, accurate, and truthful, and you will update it promptly if it changes. You must register using your own identity and, where you use the Site for your employer or organization, a business email address associated with that organization where practicable.
- You will notify us promptly at griids@kootanla.com or info@kootanla.com if you become aware of any unauthorized use of your account or any other breach of security.
- Each account is for one named individual. Seat, user, and usage limits for your Plan are shown on the Site and must not be circumvented by sharing accounts or by creating multiple accounts.
We reserve the right to suspend or terminate your account, with or without notice, if you use the Site illegally, if you violate these Terms, if we are unable to verify information you have provided, or if we reasonably believe your use presents a security, legal, or operational risk to the Site, the Company, or other users.
5. Plans
Lite Plan
We offer a permanent Lite Plan. Upon registering for a new account, you gain ongoing access to select features at no cost, currently including our Docket Tracker and Docket Search tools scoped to one state and three utilities of your choosing. The features, scope, and usage limits of the Lite Plan are described on the Site and may change from time to time. The Lite Plan does not expire and does not automatically convert to a paid subscription.
Seven-Day Pro Trial
When you register for a new account, you receive a free trial of the Pro Plan for seven (7) days starting from the moment of registration (the "Trial"). The Trial does not require a payment instrument. When the Trial ends, your account automatically reverts to the Lite Plan; nothing is charged, and no subscription is created unless you choose to purchase one. Usage limits that apply during the Trial are shown on the Site. The Trial is limited to one per person and, at our discretion, one per organization. We may modify, shorten, or withdraw the Trial at any time, and we may deny or end a Trial for any account we reasonably believe was created to obtain repeated trial access. All provisions of these Terms, including Sections 11 through 14, apply during the Trial.
Paid Plans
If you choose to upgrade to a Pro or Enterprise subscription, you will be billed at our then-current monthly or annual subscription rate, depending on the billing period you select, beginning at checkout. The features and usage limits of each paid Plan are described on the Site. Enterprise subscriptions may be subject to a separate written agreement, which controls in the event of a conflict with these Terms.
6. Subscriptions, Billing, and Payments
Automatic Renewal and Cancellation
Paid subscriptions renew automatically at the end of each billing period (monthly or annual) and you will be billed for each renewal period until you cancel. You may cancel at any time before the next renewal date to avoid being billed for the following period. You can cancel and manage your subscription through the billing portal available under Settings on the Site, or by contacting us at griids@kootanla.com or info@kootanla.com. Cancellation takes effect at the end of the current paid period; you keep access to the paid features until then, after which your account reverts to the Lite Plan.
Fees and Refunds
Fees are payable in full at the time you order or at each renewal. Except where these Terms expressly provide for a refund, or where a refund is required by applicable law, all fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused features, or downgrades. We may change our prices with effect from your next renewal by giving you notice at least thirty (30) days before the change takes effect, by email or by a notice on the Site; if you do not agree to the new price, you may cancel before the renewal.
Payment Processing
Payments are processed by Stripe, Inc. and its affiliates ("Stripe"). We accept the card payment methods offered at checkout. Card details are entered on, and held by, Stripe's secure hosted pages; the Company does not receive or store your full card number. By providing your payment information, you authorize us and Stripe to charge the payment instrument you have chosen for the amounts due under your Plan, including recurring renewal charges, and you agree to Stripe's terms of service and privacy policy as they apply to the processing of your payment. You can update your payment method, view invoices, and manage billing through the billing portal under Settings.
If a payment fails or is reversed, we may suspend or downgrade your account to the Lite Plan until payment is received. If we believe a payment has violated any law or these Terms, we reserve the right to cancel or reverse the transaction. You agree to raise any billing dispute with us in good faith before initiating a chargeback.
Taxes
Our prices exclude applicable sales, use, value-added, and similar taxes. You are responsible for any such taxes that apply to your purchase, other than taxes on our income.
7. Consumer Protection Law
Where any consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms will not limit your legal rights and remedies under that legislation. These Terms will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and that legislation, the mandatory provisions of the legislation will apply. The Site is offered for business and professional use, and nothing in this Section extends consumer protections to a business user where the law does not provide them.
8. Intellectual Property and License
Our Rights
The Site and all Company Content are owned by the Company or its licensors and are protected by copyright, database, trade secret, and other intellectual property laws. Company Content includes, without limitation, the selection, organization, normalization, and compilation of data; derived metrics, benchmarks, and analytics; text, images, logos, documents, downloadable files, software, and anything else that contributes to the composition of the Site. Where Company Content is compiled from public regulatory filings and other public sources, our rights extend to our compilation, structure, enrichment, and presentation of that material; nothing in these Terms restricts your access to public records from their original public source.
License to You
Subject to these Terms and your Plan, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and Company Content for your own, or your organization's, internal business purposes. You may use reasonable excerpts of Company Content in your own internal reports, analyses, and regulatory work product, provided that you identify GRIIDS as the source and do not use them to build a substitute for the Site.
Restrictions
Except as expressly permitted by these Terms or by us in writing, you must not:
- copy, download, scrape, crawl, or extract Company Content in bulk, or use any automated means (including bots, scripts, or API access not provided by us) to access the Site;
- sell, resell, license, rent, distribute, publish, or otherwise make Company Content or Outputs available to any third party, or use them to build, train, or improve a competing product, dataset, or model;
- remove, alter, or obscure any proprietary notice or source attribution;
- reverse engineer, decompile, or attempt to derive the source code, data structures, or underlying models of the Site;
- circumvent or attempt to circumvent any Plan limit, usage limit, access control, or security measure; or
- use the Site in any way that is unlawful, infringes the rights of others, or interferes with the Site's operation.
All rights not expressly granted to you are reserved by the Company.
Feedback
If you provide suggestions, ideas, or feedback about the Site, including feedback on Outputs, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.
9. Trademarks
The Company name, the Company logo, the Site name, GRIIDS, the Site logo, and all related names, logos, trademarks, service marks, and other product and service names, designs, and slogans are protected by applicable trademark and copyright laws and are the property of the Company (or its affiliates or licensors). You must not use such marks without the prior written permission of the Company, except to identify GRIIDS as the source of Company Content as permitted in Section 8. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners, and their appearance on the Site does not imply any affiliation with or endorsement by them.
10. Acceptable Use
You agree to use the Site only for lawful purposes and in accordance with these Terms. Without limiting Section 8, you must not:
- use the Site to violate any applicable law, regulation, court order, protective order, or regulatory confidentiality requirement;
- submit Uploaded Content that you do not have the right to submit, or that is defamatory, infringing, fraudulent, or otherwise unlawful;
- attempt to gain unauthorized access to the Site, other users' accounts, or any connected system or network, or probe, scan, or test the vulnerability of the Site without our written permission;
- introduce viruses, malware, or other harmful code, or take any action that imposes an unreasonable load on the Site's infrastructure;
- use the AI Features to generate content that is misleading, harassing, or unlawful, or attempt to extract or reverse engineer the prompts, models, or data behind the AI Features;
- misrepresent Outputs or Company Content as official statements of the Company, a utility, a regulator, or any other party; or
- use the Site to develop a competing product or service, or for the benefit of a third party as a service bureau, except as expressly permitted by your Plan or a written agreement with us.
We may investigate suspected violations and take any action we consider appropriate, including removing content, limiting or suspending access, terminating accounts, and cooperating with law enforcement.
11. Artificial Intelligence Features and Uploaded Content
Nature of the AI Features
The AI Features, including Ask and Doc Parser, generate Outputs automatically using language models and related technologies, including models operated by third-party providers. Outputs are produced without human review. Because of the nature of this technology, Outputs may be inaccurate, incomplete, outdated, misattributed, or misleading, may omit material information, and may differ for the same input over time.
No Advice; Your Responsibility to Verify
Outputs are provided for informational purposes only. They do not constitute legal, regulatory, financial, investment, engineering, tax, or other professional advice, and they are not a substitute for your own professional judgment or for review of the underlying filings and sources. Before relying on any Output, and in particular before using it in a regulatory filing, testimony, rate case, investment decision, planning study, or any other document or decision of consequence, you must independently verify it against the cited sources and the original records. You are solely responsible for any use you make of Outputs and for any decision, filing, or statement based on them. Outputs are not statements of the Company and must not be presented as such.
Uploaded Content: Your Warranties
You are responsible for all Uploaded Content. By submitting Uploaded Content, you represent and warrant that:
- you own or have all rights, licenses, consents, and permissions necessary to submit it and to allow us to process it as described in these Terms;
- it does not contain personal data of any individual other than yourself, except as strictly necessary and lawfully permitted, and does not contain sensitive personal data of any kind;
- it does not contain confidential or proprietary material of a third party that you are not authorized to disclose, including material subject to a non-disclosure agreement, protective order, or regulatory confidentiality designation;
- it does not contain Critical Energy/Electric Infrastructure Information (CEII), Critical Infrastructure Information, security-sensitive, classified, export-controlled, or otherwise restricted material; and
- its submission and our processing of it do not violate any law, regulation, order, or agreement that binds you.
We do not monitor Uploaded Content for compliance and are not responsible for it. We may, but are not obliged to, remove or refuse Uploaded Content that we reasonably believe violates these Terms.
Ownership and License of Uploaded Content
As between you and the Company, you retain ownership of your Uploaded Content. You grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, analyze, process, display, and create Outputs from your Uploaded Content, including through the third-party AI and infrastructure providers identified in our Privacy Policy, for the purposes of providing, securing, maintaining, evaluating, and improving the Site and its AI Features, and as otherwise described in the Privacy Policy. This license lasts for as long as the Uploaded Content is held on the Site and for any longer period required by law or reasonably necessary for backups, security, and dispute resolution. Third-party providers process Uploaded Content under their own terms, which we require to limit their use of it to providing their services to us.
Retention of Sessions
Doc Parser sessions that you do not save are deleted automatically twenty-four (24) hours after they are created. Saved sessions are retained until you delete them or your account is closed. We are not a document storage or archival service; you must keep your own copies of Uploaded Content and of any Output you wish to preserve. We will not be liable for the loss of Uploaded Content or Outputs.
Usage Limits and Availability
The AI Features are subject to usage limits that depend on your Plan and are shown on the Site. We may change those limits from time to time. We may suspend, restrict, modify, or discontinue any AI Feature, in whole or in part, at any time, including where necessary to comply with law, to manage cost or capacity, to prevent abuse, or where a third-party provider changes or withdraws its service. Suspension of an AI Feature does not by itself entitle you to a refund, except as provided in Section 3.
Outputs
Subject to these Terms, and to the extent we have rights in them, you may use Outputs for your own or your organization's internal business purposes. Because Outputs are generated automatically, similar or identical Outputs may be produced for other users, and we do not warrant that any Output is unique or free of third-party rights. You must not use Outputs in a manner that violates Sections 8 or 10.
12. Disclaimers
The Site, the Company Content, the AI Features, and the Outputs are provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, the Company disclaims all warranties to you and to all third parties, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, accuracy, results of use, reliability, fitness for a particular purpose, title, and non-infringement of third-party rights. The Company further disclaims any warranty that the Site will be uninterrupted, timely, error-free, virus-free, or secure, or that defects will be corrected.
Data accuracy. The Company makes no claim that the data presented on the Site is complete or 100% accurate. While the Company makes reasonable efforts to collect, compile, and process data from reputable sources, including public regulatory filings, inaccuracies may occur at the source or during collection, aggregation, normalization, or presentation. Data may also be superseded by later filings, orders, or corrections. It is solely your responsibility to independently validate and verify the accuracy, currency, and suitability of any data, insight, or Output obtained through the Site before relying on it for any purpose.
No professional advice. The Site provides data, tools, and automatically generated Outputs. Nothing on the Site is legal, regulatory, financial, investment, engineering, or other professional advice, and no professional relationship is created by your use of the Site.
Third-party materials. The Company does not provide any warranties regarding information, content, or other material that is created by, provided by, originating in, or owned by any person, company, utility, or public agency other than the Company and which the Company makes available through the Site ("third-party materials"). Third-party materials may change over time as the Company, in its sole discretion, incorporates new third-party materials into the Site or removes them, or as suppliers of third-party materials discontinue their publication, discontinue the Company's access to them, or offer them on terms the Company considers commercially impracticable. Links to other websites are provided for convenience only; we do not control and are not responsible for them.
Some jurisdictions do not allow the exclusion of certain warranties. In that case, the above exclusions apply to the fullest extent permitted by law.
13. Limitation of Liability
To the maximum extent permitted by law, the Company and its members, managers, directors, officers, agents, employees, contractors, subsidiaries, affiliates, licensors, and service providers (the "Company Parties") will not be liable for any actions, claims, losses, damages, liabilities, or expenses, including legal fees, arising from or relating to your use of, or inability to use, the Site, the Company Content, the AI Features, or the Outputs, under any theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise.
Without limiting the foregoing, you agree that, to the maximum extent permitted by law, the Company Parties will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, business, goodwill, data, or business interruption (even if we have been advised of the possibility of such damages or they are foreseeable), or for any loss arising from reliance on Company Content or Outputs, any regulatory, judicial, or commercial outcome, or any error, omission, or delay in data.
Aggregate cap. The Company Parties' total aggregate liability to you for all claims arising out of or relating to the Site or these Terms is limited to the greater of (a) the amounts you paid to the Company for the Site in the twelve (12) months immediately before the event giving rise to the claim, and (b) one hundred U.S. dollars (US $100). This cap applies whether or not the Company has been advised of the possibility of the loss, and applies collectively to all claims and all Company Parties.
Your sole remedy. Your sole remedy for dissatisfaction with the Site is to stop using it and, where applicable, cancel your subscription.
The limitations in this Section apply to the fullest extent permitted under Illinois law and any other applicable law, and are an essential basis of the bargain between you and the Company. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
14. Indemnity
Except where prohibited by law, you agree to defend, indemnify, and hold harmless the Company Parties from and against any and all actions, claims, demands, losses, damages, liabilities, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to: (a) your use of the Site or of any Output; (b) your Uploaded Content, including any claim that it infringes or misappropriates the rights of a third party, contains restricted or confidential material, or was submitted in breach of law, order, or agreement; (c) your violation of these Terms; (d) your violation of any law, regulation, or the rights of any third party; or (e) any use of your account, whether or not authorized by you. We may, at our expense, assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence. You may not settle any claim in a way that imposes an obligation on a Company Party without our prior written consent.
15. Suspension and Termination
You may stop using the Site and close your account at any time by contacting us at griids@kootanla.com or info@kootanla.com or through the contact form on the Site. Closing your account does not entitle you to a refund except as expressly provided in these Terms.
We may suspend or terminate your access to the Site, or to any feature, at any time, with or without notice, if you breach these Terms, if required by law or by a third-party provider, if your account is inactive for an extended period, or if we discontinue the Site or the relevant feature. Where we terminate a paid subscription for our convenience rather than for your breach, we will refund the unused portion of any fees you prepaid for the current period.
On termination, your license to use the Site ends, and we may delete your account data, Uploaded Content, saved sessions, and Outputs after a reasonable period, subject to the Privacy Policy and our legal obligations. Sections 8, 11 (Ownership and License of Uploaded Content, Outputs), 12, 13, 14, 16, and 17, and any other provision that by its nature should survive, will survive termination.
16. Applicable Law and Disputes
These Terms, and any dispute or claim arising out of or relating to them or to the Site, are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before starting any formal proceeding, you agree to first contact us at griids@kootanla.com or info@kootanla.com with a written description of the dispute and to work with us in good faith for at least thirty (30) days to resolve it. If the dispute is not resolved, you agree that the state and federal courts located in the State of Illinois will have exclusive jurisdiction over it, and you consent to the personal jurisdiction of those courts. The Company may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or Company Content.
Any claim arising out of or relating to the Site or these Terms must be brought within one (1) year after the claim arose; otherwise, it is permanently barred, to the extent this limitation is permitted by law.
17. General Provisions
Severability. If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be enforced to the maximum extent permissible and otherwise deemed severed from these Terms. All other provisions will remain in full force and effect.
Changes to these Terms. We may amend these Terms from time to time to maintain compliance with the law, to reflect changes to the Site or the way we operate it, or to reflect changes in how we expect users to behave on the Site. When we do, we will update the "Last Updated" date at the top of these Terms and, for material changes, notify account holders by email or by a notice on the Site before the changes take effect. Your continued use of the Site after the changes take effect constitutes acceptance of the amended Terms. If you do not agree, you must stop using the Site and may cancel your subscription.
Entire agreement. These Terms, together with the Privacy Policy and any Plan descriptions on the Site (and any separate written agreement between you and the Company), constitute the entire agreement between you and the Company regarding the Site and supersede all prior or contemporaneous understandings.
Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, labor disputes, internet or utility failures, government actions, or the failure or unavailability of a third-party provider.
Export and sanctions compliance. You represent that you are not located in, and are not a national or resident of, any country or territory subject to comprehensive U.S. sanctions, and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws in your use of the Site.
Electronic communications. You consent to receive communications from us electronically, including by email and by notices on the Site, and agree that these satisfy any legal requirement that communications be in writing.
Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and the Company.
